Terms of Service
Effective 2026-04-20. By creating an account you agree to these Terms.
1. The agreement
These Terms are a contract between you (the customer organisation on whose behalf the account is opened) and TeZe Ltd, company number 17137231, registered in England and Wales, with registered address 66 Paul Street, London, EC2A 4NA ("we", "us"). Rotapulse is a product of TeZe Ltd. Where you have signed a separate Master Services Agreement with us, that agreement takes precedence over these Terms for the services it covers.
2. The service
Rotapulse provides software for scoring shift based workforce fatigue risk. The output is a decision support signal, it is not a substitute for the organisation's own risk assessments, clinical judgement, or compliance obligations. You are responsible for the decisions you make using the service.
3. Your account and workspace
Your workspace owner is responsible for who is invited, what data is uploaded, and how the service is used by their members. You agree to keep credentials secure and to notify us promptly of any suspected unauthorised access.
4. Acceptable use
You agree not to:
- Upload data you have no lawful basis to process.
- Attempt to reverse engineer the scoring engine or bypass tenancy isolation.
- Use the service to facilitate harm to workers (for example by presenting fatigue output stripped of its limitations in a coercive way).
- Resell the service or provide it to third parties outside your organisation.
5. Fees and trial
Pricing, trial terms, and billing frequency are as posted on the pricing page at the time you subscribe. Invoices are raised in GBP. Unpaid invoices after 30 days may result in suspension. We will give you at least 7 days notice before suspending for non payment.
6. Data protection
For workforce data you upload, we act as data processor and you act as controller. The terms of processing are set out in our Data Processing Agreement, which forms part of these Terms. Our Privacy Notice covers the personal data we control (your staff logins, billing contacts, etc.).
7. Availability
We aim for 99.9% monthly availability on paid plans, measured against the product surface at www.rotapulse.co.uk. Planned maintenance windows and service incidents are published on /status.
8. Warranties
We provide the service with reasonable skill and care. We do not warrant that it will be error free or that the output will suit every operational context. The determination of safe rostering is and remains the customer's responsibility.
9. Liability
To the fullest extent permitted by law, neither party will be liable for indirect or consequential losses. Our total liability in any 12 month period is capped at the fees paid by you in the preceding 12 months, save for liability that cannot be limited by law (for example fraud or death or personal injury caused by negligence).
10. Term and termination
Either party may terminate for material breach not cured within 30 days of notice. On termination we will provide a data export on request within 30 days, then delete customer data in line with our retention policy.
11. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
12. Changes
We may update these Terms. We will post the updated version here and notify your workspace owner by email. Material changes take effect 30 days after the notice.
